TERMS OF SERVICE

Please read these Terms of Service ("Terms") carefully before using Kairo, operated by Sawhney Technologies LLC ("we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. DESCRIPTION OF SERVICE

Kairo is an AI-powered circuit design platform that converts plain-English descriptions into SPICE-compatible netlists, runs simulations, generates schematics inside KiCad, selects real components, and provides circuit explanation and debugging assistance. The Services include the Kairo desktop application, web interface, API, and all related tools and features.

2. USER ACCOUNTS AND REGISTRATION

To access certain features, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or remain inactive for an extended period.

3. SUBSCRIPTION PLANS AND PAYMENT

Kairo offers the following subscription tiers:

• Free — Explain mode only: understand any circuit in plain English
• Pro ($49/month) — Full AI schematic generation, modification, export, and explanation
• Pro+ ($149/seat/month) — All Pro features plus shared component library, git-style versioning, and admin controls

Usage above your tier’s included limits may incur additional charges based on our published overage rates. All payments are processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. Prices are subject to change with 30 days’ prior notice.

4. ACCEPTABLE USE POLICY

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Design circuits intended to cause harm to persons or property
• Attempt to reverse-engineer, decompile, or extract source code from the Services
• Interfere with or disrupt the integrity or performance of the Services
• Access accounts or data belonging to other users without authorization
• Use automated tools to scrape, crawl, or extract data from the Services
• Resell, sublicense, or redistribute the Services without our written consent

5. INTELLECTUAL PROPERTY

Your Designs

You retain all intellectual property rights to the circuit designs, schematics, netlists, and other outputs you create using Kairo. We claim no ownership over your designs or the products you build from them.

Our Software

Kairo, including its software, AI models, user interface, documentation, and all related intellectual property, is and remains the property of Sawhney Technologies LLC. These Terms do not grant you any rights to our trademarks, trade names, or branding.

6. AI-GENERATED CONTENT

Kairo uses artificial intelligence to generate circuit designs, component selections, and simulation results. You acknowledge and agree that:

• AI-generated designs are provided as engineering aids, not as certified or guaranteed solutions
• You are solely responsible for independently verifying all circuit designs, component ratings, and simulation results before manufacturing or deployment
• We make no warranty regarding the accuracy, completeness, or fitness of AI-generated outputs for any particular purpose
• AI-generated designs may contain errors, and you assume all risk associated with using them in production
• Critical and safety-related circuits (medical devices, automotive, aerospace, power systems) must be reviewed and validated by qualified engineers

7. DATA AND PRIVACY

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Services, you consent to the data practices described in the Privacy Policy.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAWHNEY TECHNOLOGIES LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THIS LIMITATION APPLIES REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF WHETHER ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

9. WARRANTY DISCLAIMER

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that any defects will be corrected. No information or advice obtained from us shall create any warranty not expressly stated in these Terms.

10. TERMINATION

You may terminate your account at any time by contacting us or through your account settings. We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice.

Upon termination:

• Your right to access the Services will immediately cease
• We may delete your account data after a reasonable retention period
• Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and dispute resolution) will survive

11. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Dane County, Wisconsin.

12. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a prominent notice on the Services at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
